Snowcat Cloud Free Plan

These Free Plan specific terms (“Terms”) are intended to highlight some of the important things about using SnowcatCloud's Free Plan. These Terms are incorporated into and subject to the terms of Customer’s Master Subscription Agreement (“MSA”) with SnowcatCloud and govern Customer’s use of SnowcatCloud Products on the Free Plan. Capitalized terms used, but not defined herein, shall have the meanings set forth in the MSA. We may periodically update these Terms by posting a revised copy at https://www.snowcatcloud.com/legal/terms/, so please check back for current information.

IF CUSTOMER DOES NOT AGREE TO THESE TERMS CUSTOMER MAY NOT ACCESS OR USE THE SERVICES.

THE PARTIES AGREE AS FOLLOWS:

1. SUBSCRIPTION FEES

The Free Plan is a plan that provides Customers (“You”) with free access to SnowcatCloud product features available on the SnowcatCloud's cloud-hosted plan, subject to the usage limits described below (the “Free Plan” or “Free Plan Product”). As such, there are no subscription fees associated with the Free Plan. If You use the Free Plan, we will make the Free Plan Product available to You free of charge until the earlier of (i) the date on which your free subscription is terminated or (ii) the start date of your paid subscription.

2. USAGE LIMITS & ELIGIBILITY

Snowcat Cloud offers a Free Plan for customers subject to certain usage limits and eligibility criteria. Customers are required to promptly notify Snowcat Cloud in case of any change in their eligibility status and may be required to upgrade to a paid plan.

2.1. Eligibility

• (a) Company size, revenue The Free Plan is available only to legally registered companies that have fewer than 10 employees, gross revenue less than $1,000,000, and have not raised venture capital. The free plan is not available to individuals.
• (b) Geographical limitation The Free Plan is available only to customers located in the European Union, United Kingdom, Australia, and North America. Snowcat Cloud reserves the right to validate the customer's location and to suspend the Services if the customer is found to be outside of these specified regions.

2.2. Usage Limits

• (a) Monthly Events: The Free Plan allows customers to process up to 1,000,000 events per month. Customers exceeding this limit may be required to upgrade to a paid plan or may face service limitations.

3. MODIFICATIONS

We may modify the Free Plan, including the Free Plan Usage Limit, at any time, in our sole discretion, without prior notice to you, and in ways that may materially reduce, or eliminate, the functionality provided to you.

4. TERM & TERMINATION

These Terms shall take effect the first time you access the SnowcatCloud Product and shall continue in full force and effect until (i) the date on which your Free Plan subscription is terminated or (ii) the start date of your paid subscription. If you upgrade to a paid subscription, SnowcatCloud’s MSA and other terms will continue to apply.

Notwithstanding anything to the contrary in the MSA, if you fail to abide by these Terms, or the terms of any other Agreement while using the Free Plan, we may immediately suspend or terminate your access to the Free Plan at our sole discretion.

5. LIMITATION OF LIABILITY

IN NO EVENT SHALL SNOWCATCLOUD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL OR EXEMPLARY DAMAGES, WHETHER OR NOT SUCH DAMAGES ARE FORESEEABLE OR A PARTY HAS BEEN ADVISED OF THE POSSIBILITY THEREOF. IN NO EVENT SHALL SNOWCATCLOUD’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE FREE PLAN EXCEED $100.
